Terms of use and sale
Otus's rules: what you can expect from it, what we expect from you, and what each plan costs.
Version of 22 October 2026
1. Purpose
These terms govern the use of Otus, an online business management software (quotes, invoices, payments, clients, products, expenses, statistics, website and online shop) published by Stéphane Parra ("Otus" or "we"), and its subscription by its users ("you" or "the Client").
Creating an account means accepting these terms. They prevail over any other document unless agreed otherwise in writing. They are written in French; this English version is a translation, and the French text prevails.
2. Definitions
- Workspace: the Client's working environment in Otus, where its data lives. One person creates one workspace only.
- Member: a person the Client invites to work in its workspace, within the seats of its plan.
- Plan: Solo (free), Pro or Elite (paid), described in section 5.
- Quotas: the volumes included in each plan (storage, e-mails, and any other measured resource).
- Site: the website and online shop the Client publishes with Otus, at an otus.page address or its own domain.
- Buyer: a person who buys on the Client's Site or pays a document the Client sent them.
- Approved platform: an operator registered by the tax administration to carry e-invoices and invoicing data (section 11).
3. A service for businesses
Otus is meant for businesses: sole traders, freelancers, companies and associations using it for their activity. By creating an account you declare that you act for business purposes. Consumer protection rules therefore do not apply between Otus and the Client.
Your Buyers may be consumers: the rules protecting them apply between you and them (section 10).
4. Account and security
You agree to give accurate information and keep it up to date, to keep your password secret and to tell us at once of any fraudulent use of your account. We recommend turning on two-factor authentication, available in the settings.
You are responsible for what is done from your account and your workspace, including by the Members you invite.
5. Plans, prices and quotas
As of the date of these terms, Otus offers three plans:
| Plan | Price | Seats | Included every month |
|---|---|---|---|
| Solo | Free | 1 | 1 GB of storage, 300 e-mails |
| Pro | €9 a month or €90 a year | 3 | 10 GB of storage, 1,000 e-mails, 100 e-invoices |
| Elite | €24 a month or €240 a year | 10 | 50 GB of storage, 3,000 e-mails, 500 e-invoices |
Prices are in euros. During its launch phase Otus benefits from the French VAT exemption for small businesses: VAT not applicable, article 293 B of the French General Tax Code. Prices are exclusive of tax: should Otus become liable for VAT, it is added to the prices at the applicable rate, guaranteed prices included, and we tell you in advance.
Each plan includes quotas, shown on your dashboard. Monthly counters start again on the 1st of each month. A quota reached deletes nothing: the sends it holds back wait for the next month or a higher plan, and full storage only prevents adding new files. E-mails owed to a third party (a payment receipt, a Buyer's order, an invitation) always go. To prevent abuse, a new Solo workspace sends at most 50 e-mails a day during its first week.
Some features have a per-use cost for Otus (for instance automatic receipt reading or sending electronic invoices). They are included within each plan's quotas. Beyond them, they may be offered as top-ups: prepaid packs, at the price shown before purchase, used once the month's quota is spent, valid for 12 months from purchase, non-refundable, non-transferable and tied to the workspace. Top-up prices may change for future purchases; a pack already bought keeps its content. Nothing is ever charged without your agreement.
The detail of the plans and quotas in force, published on otus.pro and in the app, is part of these terms, as it changes under section 6.
6. Changes to quotas, plans and prices
Otus is a small business whose costs depend on providers it does not control. To stay viable, it keeps control over its quotas and its offer, under the following rules.
Quotas. Quotas are set by Otus and may be changed at any time, for every plan: their volume, their period (per month, per day or per hour), what they count and how it is measured. A reduction is announced by e-mail and in the app at least 15 days in advance, or immediately if abuse, the security of the service or a sudden rise in our costs requires it. Temporary limits may be set without notice to protect the service. An unused quota does not carry over to the next period.
If a quota reduction penalises you on a paid plan, you can cancel within 30 days of its announcement: we then refund the unused part of the current period. This is the only exception to the no-refund rule of section 7.
Prices. Any increase in the price of a paid plan is announced by e-mail at least 30 days in advance and only applies from your next term; you can cancel before then, at no cost. Prices guaranteed to Pioneers are reserved (section 9).
Solo plan. It is free and provided with no commitment as to duration or content: we may change its features, make it paid or end it, telling you by e-mail at least 30 days in advance.
Commission on Site sales: its rate may change with 30 days' notice.
In every case, we never remove access to your data without leaving you time to export it.
7. Subscription, payment and cancellation
The Pro and Elite plans are paid in advance, monthly or yearly, by card, through our payment provider Stripe. The subscription renews automatically at each term. An invoice is sent to you for every payment.
You can change plan or cancel at any time from the settings. Cancellation takes effect at the end of the period already paid, at no cost; no period started is refunded, yearly subscriptions included (except as section 6 provides). Your workspace then goes back to the Solo plan: your data stays whole, only Solo's quotas and seats apply. If your data exceeds Solo's quotas, nothing is deleted, but you cannot add more while you exceed them.
If a payment fails, we let you know and Stripe tries again. You have a grace period of 7 days to settle, during which your plan stays active. After that, the subscription ends and the workspace goes back to the Solo plan. Amounts due remain payable.
8. Online payments and commission
Otus lets you collect payments from your clients online (payment links, invoices payable online, your Site's shop) through Stripe Connect. To do so you open your own Stripe account: money is paid directly into that account, Otus never holds it. You remain the seller of every transaction and accept Stripe's terms for connected accounts. Stripe's fees are charged by Stripe, and your clients' disputes, refunds and chargebacks are yours to bear.
Otus takes no commission on your invoices, your payment links or your transfers.
On the Solo plan only, Otus receives a commission of 1% of each sale made on your Site, taken automatically by Stripe at the time of payment. It remains Otus's even if the sale is later refunded. The Pro and Elite plans have no commission.
9. Beta and Pioneer offer
Otus is in beta: the service is essentially complete but keeps evolving. Features may change, be added or be withdrawn, and defects may remain. During the beta, the service is provided as is, with no service level commitment.
The first 100 workspaces created at the opening become Pioneers, numbered 001 to 100 in order of creation. Pioneers 001 to 020 get the Elite plan offered during the beta; Pioneers 021 to 100 get the Pro plan offered during the beta. The end of the beta is announced at least 30 days in advance.
When the beta ends, a Pioneer who chooses to carry on with their plan pays the price in force that day (€9 a month for Pro, €24 for Elite as of 22 October 2026), then keeps that price, exclusive of tax, for as long as Otus offers that plan and the subscription stays active without interruption. The guaranteed price covers the plan's price: its quotas, features and paid extras follow section 6. It ends on cancellation, on a change to another plan, or on non-payment beyond the grace period. A Pioneer who does not carry on goes back to the Solo plan, at no cost.
Otus is young and its model may change deeply (for instance plans replaced by offers of another kind). Should the plans the Pioneer offer rests on disappear, their guaranteed price would end with them. Each Pioneer would then receive, in the new model, an offer reserved for them and more favourable than the public offer, announced at least 30 days in advance; a Pioneer who does not want it can cancel at no cost.
A Pioneer number is personal, cannot be transferred and is never reassigned. The Pioneer offer has no cash value.
10. Your Site and your sales
You are the publisher of your Site and the seller of what you offer on it. It is up to you to publish accurate information and your own terms of sale there, and to follow the rules that apply to your sales: information to Buyers, consumers' right of withdrawal, legal guarantees, delivery, invoicing and VAT. Otus provides the pages and tools and fills in your legal notice from your settings.
Otus hosts your Site without controlling its content. We may suspend without notice a Site or content that is manifestly unlawful or reported to us as such, and we tell you.
11. E-invoicing
Otus is a compatible solution under the French e-invoicing reform: it relies on an approved platform, currently Super PDP, published by SUPER G and registered by the French tax administration (DGFiP). E-invoicing is included in the Pro and Elite plans and in the Pioneer offer, within their quotas; it will be offered on Solo on terms announced in advance.
To turn it on, you open from Otus your own account with the approved platform and accept its terms. It checks the identity of your business and of its legal representative itself: Otus never receives your identity documents.
You authorise Otus to act on your behalf with the platform: send your invoices and credit notes, receive your suppliers' invoices and their statuses, send the statuses you choose (approval, refusal, payment received), pass on your VAT regime, and report to the tax administration the data of the sales that require it (sales to private customers, sales to foreign businesses and the payments received). You may withdraw this authorisation at any time by disconnecting the platform in the settings; your account with it, your address in the directory and the invoices it archives remain yours, and you remain free to change platform.
An invoice deposited on the platform or reported to the tax administration can no longer be edited: a credit note corrects it.
What is sent comes from what you enter in Otus: how your clients are identified (SIREN, country, private customer or business), the VAT rates and regime, the option to pay VAT on debits, the nature of the operations. It is up to you to keep this information accurate and to check the invoices you receive; you alone remain bound by your invoicing and reporting obligations. Otus is not liable for failures of the approved platform, the directory or the tax administration, nor for the consequences of inaccurate data.
12. Fair and reasonable use
You agree to use Otus lawfully and in line with these terms. In particular, the following are forbidden: unsolicited messages, the sale of unlawful products or services, identity theft, any attempt to reach another workspace's data or to disrupt the service, automated access (bots, data scraping) without our agreement, and using Otus as plain file storage or hosting unrelated to your business management.
Quotas are maximums, not guarantees. If a use clearly exceeds normal use for a business of your size, or puts abnormal costs or load on Otus, we may limit it, ask you to move to a suitable plan or, in case of abuse, suspend the workspace, after telling you except in an emergency.
Otus provides tools, not advice: the documents you issue (quotes, invoices, mentions, VAT rates) remain your responsibility. Otus computes and prints the usual mentions, but it is up to you to check they suit your situation.
13. Inactive free workspaces
A Solo workspace nobody has signed in to for 12 months may be closed. We tell you by e-mail at least 30 days before; signing in is enough to keep it. Otherwise the closure follows section 18.
14. Your data
Your data belongs to you. You can export all of it at any time from the settings, in open formats (CSV and JSON spreadsheets, documents as PDF, original files). We back up the service, but it is up to you to keep your own exports of what you cannot do without.
For the data of your clients, Buyers, suppliers and Members, Otus acts as a processor on your behalf: the data processing agreement published here sets the rules and is part of these terms. For your own account's data, Otus is the controller: see our privacy policy.
15. Availability and help
We do our best to keep Otus available and safe, without being able to guarantee uninterrupted or error-free operation: maintenance, updates or incidents at our providers may interrupt it for a while.
Help comes through the online guide for Solo, by e-mail for Pro, with priority for Elite, with no guaranteed response time.
16. Liability
Otus has an obligation of means. Our liability can only arise for direct, proven damage caused by our fault. It is limited, for all damage combined, to the amount the Client paid Otus in the twelve months before the event giving rise to it. We are not liable for indirect damage (loss of revenue, clients, an opportunity, or data the Client did not keep an export of), nor for the acts of our providers, of Buyers or of third parties.
You hold Otus harmless from any third-party claim related to your content, your Site, your sales, your documents or your tax and social obligations, and indemnify it for the sums it would bear as a result.
Otus is not liable for a failure due to force majeure or to an event beyond its reasonable control (an outage of a provider, of the internet or of the power grid, a large-scale cyberattack, a decision of an authority).
Nothing in these terms excludes a liability the law does not allow to be excluded, in particular for gross negligence or wilful misconduct.
17. Intellectual property
Otus, its code, interface and trademarks belong to the publisher. You have a personal, non-exclusive right of use for the life of your account. You allow us to host, display and send your content only as far as the service requires, and to show "Made with Otus" on Solo plan Sites.
18. Suspension, closure and end of the service
In case of serious breach of these terms (fraud, unlawful content, non-payment, abuse, attack on security), we may suspend or close your workspace, after telling you except in an emergency.
You can close your account at any time from the settings (Your data), or by writing to contact@otus.pro. The owner closes the workspace for the whole team: it stays readable and exportable for 30 days, during which the owner may reopen it, then it is deleted with its files and its Members' accounts, except what the law requires us to keep (our own invoices, for ten years). A Member may delete their own account at any time; what they created stays in the workspace.
Should we stop operating Otus, we would tell you at least 90 days in advance so you can export your data; amounts paid for a period not yet begun would be refunded.
19. Transfer
Otus may transfer these terms and the current subscriptions to any company taking over all or part of its activity (in particular a company set up by the publisher), and tells you. Your rights and guaranteed prices are kept.
20. Changes, governing law and disputes
We may change these terms. Any significant change is announced at least 30 days before it applies; if you refuse it, you can cancel before that date. Using Otus after that date means accepting it.
These terms are governed by French law. In case of dispute we will first look for an amicable solution; failing that, the courts of Montpellier (France) have jurisdiction.
